Smart Copilot connector

1. Important conditions

These terms and conditions ("Terms") are entered into between Smart-Copilot and the Customer to govern the Customer's use of Smart-Copilot Connectors. The Customer's use of the Services and Accounts is governed by the applicable Customer Agreement. For the avoidance of doubt, any claim relating to the Services and/or an Account will be made under the Customer Agreement and not under these Terms. In the event of any conflict between these Terms and the Customer Agreement concerning the use of Smart-Copilot Connectors, these Terms shall prevail.

Smart-Copilot Connectors may be dependent on certain features of the Services, and their use may incur additional charges, as specified in the Customer Agreement. Smart-Copilot Connectors are not, however, part of the Services.

If (i) the Customer Agreement does not incorporate these Terms and (ii) additional documentation relating to a Connector requires the Account Administrator to accept these Terms in the Smart-Copilot web interface, such acceptance confirms that the Account Administrator has the necessary authority to do so on behalf of the Customer. In the event of acceptance, previous agreements concerning the Customer's use of Smart-Copilot Connectors are terminated and replaced by these Conditions.

By accessing or using a Smart-Copilot Connector, the Customer accepts all of the terms of these Conditions. They shall have the same force and effect as a written and signed agreement between Smart-Copilot and the Customer.

 

2. Definitions

The terms defined in this section apply to these Conditions. All terms in quotation marks in the text are also defined terms:

  • Customer: Any person or entity accepting these Conditions.

  • Smart-Copilot Connectors: Modules enabling customers to access their data from an external system and integrate it into their Smart-Copilot account.

  • Service: The generally available software-as-a-service offering hosted by or for Smart-Copilot, excluding Connectors.

  • Additional Documentation: Technical documentation and user guides for Smart-Copilot Connectors.

  • Account: Customer's user account, as defined in the Customer Agreement.

 

3. Using Smart-Copilot connectors

3.1 General obligations

The Customer must acquire and maintain all rights and licenses necessary to use an external system in connection with a Smart-Copilot Connector. The Customer warrants that it has the necessary rights to its data to grant Smart-Copilot the rights provided for in these Conditions. The Customer undertakes to use Smart-Copilot Connectors in accordance with :

(a) these Terms, (b) the Additional Documentation, and (c) all applicable laws and regulations, including those relating to data protection.

3.2 Restrictions on use

The Customer undertakes not to :

  • Decompile, reverse engineer or attempt to discover the source code of the Connectors.

  • Causing or attempting to cause a vulnerability or intentional malfunction of the Connectors.

  • Use Connectors in violation of law or Smart-Copilot's Acceptable Use Policy.

 

4. Connector Usage Data

Smart-Copilot may collect and use Connector usage data to improve its products and services.

5. Intellectual Property

5.1 Smart-Copilot rights

Smart-Copilot retains all rights to the Connectors, including their improvements and derivatives.

5.2 Suggestions

Smart-Copilot may freely use any suggestions or comments provided by the Customer to improve its services.

6. Duration and termination

These Conditions take effect on the date of initial use of the Connectors and remain in force until terminated by either Party. In the event of termination, the Customer must cease all use of the Connectors.

7. Limitation of liability

In no event shall Smart-Copilot be liable for any consequential, indirect or special damages, including loss of data or income, arising out of or in connection with these Terms.

8. General provisions

8.1 Applicable law

These Conditions are governed by French law. Any dispute shall be submitted to the competent courts of Paris.

8.2 Notifications

All notifications should be sent to the following email address: [email protected].

8.3 Full agreement

These Terms and Conditions constitute the entire agreement between Smart-Copilot and the Customer with respect to the Connectors and supersede any prior agreements.

9. Looker Data Studio connector

9.1 Privacy Policy

Smart Copilot ("we", "us" or "our") operates the Smart Copilot application (the "Service").

This page describes our policies regarding the collection, use and disclosure of personal data when you use our Service, as well as your rights and choices associated with such data.

We use your information to provide and improve our Service. By using our Service, you consent to the collection and use of your data in accordance with this policy. Unless otherwise specified in this Privacy Policy, the terms used herein have the same meaning as in our Terms and Conditions of Use.

9.2 Data collection and use

We collect various types of information in order to ensure the smooth operation and continuous improvement of our Service. We do not transfer or disclose your data to third parties outside the purposes specified in this policy.

Your personal information will only be retained for as long as is necessary to fulfil the purposes set out in this policy, unless a longer retention period is required or permitted by law.

- Ensuring the safety of users and the public

- Protect yourself against legal liability

9.5 Data security

We use industry-standard security measures to protect your personal data. However, no method of transmission over the Internet or of electronic storage is totally secure. We therefore cannot guarantee absolute data security.

9.6 Changes to the Privacy Policy

We may update this Privacy Policy at any time. Any changes will be posted on this page and, if necessary, we will notify you by e-mail or via a notice on our Service before they take effect. The date of the update will appear at the top of this page.
